  • The vendor named above hereby accepts the above and hereby agrees to defend, indemnify and save the Lunenburg Folk Harbour Society, its directors, officers, employees, and agents, harmless from and against any and all claims, damages, losses, liabilities, demands, suits, judgments, causes of action, legal proceedings, penalties or other sanctions, including all direct, indirect, consequential and incidental damages, and any and all costs and expenses arising in connection therewith, including legal fees and disbursements on a solicitor and his own client basis, which may, directly or indirectly in any way result from or arise out of or be in relation to (i) vendor's Products or Services; (ii) vendor's negligence or the negligence of any of vendor's employees or anyone else for whom vendor is responsible in law (whether in relation to the Products or Services or otherwise); and (iii) any breach by vendor or by any of vendor's employees or anyone else for whom vendor is responsible at law, of any of the provisions of this Agreement (save and except to the extent of the negligence of the Lunenburg Folk Harbour Society or by any of its employees or anyone else for whom it is responsible in law).
